Terms of Service

These Terms of Service (“Terms”) are a binding agreement between you and MS1 Ventures LLC (“Ask Arnie,” “we,” “us,” or “our”) governing your use of the Ask Arnie mobile application, the askarnie.app website, and our text messaging program (together, the “Service”). By using the Service, you agree to these Terms and to our Privacy Policy.

Please read carefully: Section 12 contains a binding arbitration agreement and class action waiver that affect how disputes are resolved. Section 3 explains that Arnie's answers are generated by artificial intelligence and are not professional advice.

1. The Service

Ask Arnie is an AI-powered personal assistant that helps with everyday tasks such as answering questions, planning meals and activities, suggesting gifts, helping with writing, and providing weather and news summaries. The Service is provided for personal, non-commercial use.

2. Eligibility

You must be at least 13 years old to use the Service. If you are under 18, you may use the Service only with the involvement and consent of a parent or guardian. You must be at least 18 and the owner or authorized user of the mobile phone number you enroll to opt in to the texting program.

3. AI-generated content; no professional advice

  • Arnie's responses are generated by artificial intelligence. AI can be wrong, incomplete, or outdated, and may occasionally produce inaccurate results. Always use your own judgment and verify important information from authoritative sources before relying on it or acting on it.
  • The Service does not provide medical, legal, financial, tax, insurance, or other professional advice, and nothing in the Service creates a professional-client relationship. For matters that affect your health, money, safety, or legal rights, consult a qualified professional.
  • Weather, news, and safety-related information is provided for general convenience only and must not be relied on for emergency or safety-critical decisions. In an emergency, call 911.
  • Scam-related feedback is informational only; we cannot guarantee detection of any scam or fraud, and you remain responsible for your own decisions.

4. Text messaging program terms

  • Program: Ask Arnie texts, including replies to questions you text to Arnie and, if you choose them, recurring messages such as morning weather, meal reminders, and gift-date reminders. Enrollment is opt-in from inside the App and is confirmed with a one-time verification code.
  • Message frequency varies depending on the options you select.
  • Message and data rates may apply per your mobile carrier's plan.
  • Opt out at any time by replying STOP to any message (you may receive one final message confirming your opt-out) or in the App's Text settings. Reply HELP for help, or contact support@askarnie.app.
  • Consent to receive texts is not a condition of using the App.
  • Carriers are not liable for delayed or undelivered messages. Message delivery is subject to your carrier's network and coverage.
  • You represent that the number you enroll is yours, and you agree to notify us (by replying STOP or emailing support) if you give up that number.

5. Acceptable use

You agree not to:

  • use the Service for any unlawful, harmful, or abusive purpose;
  • attempt to disrupt, overload, probe, or gain unauthorized access to the Service;
  • use automated means to access the Service or scrape its content;
  • infringe others' rights, or upload content you lack the rights to share;
  • use the Service to develop a competing product, or resell it.

We may suspend or terminate access for violations of these Terms.

6. Your content and license to us

You keep ownership of the content you submit (questions, photos, preferences). You grant us a non-exclusive, worldwide, royalty-free license to host, process, transmit, and display that content as needed to operate and improve the Service, including processing by our AI and infrastructure service providers. If you send us feedback or suggestions, we may use them without restriction or compensation.

7. Our intellectual property

The Service, including the Ask Arnie name, the Arnie character, software, and design, is owned by MS1 Ventures LLC or its licensors and is protected by intellectual property laws. We grant you a limited, revocable, non-exclusive, non-transferable license to use the Service for personal purposes in accordance with these Terms.

8. Third-party services

The Service depends on third parties, including AI model providers, cloud hosting, messaging carriers, and app stores. We are not responsible for third-party services, and your use of them may be subject to their own terms.

9. Disclaimer of warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, ACCURACY, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY RESPONSE WILL BE ACCURATE OR RELIABLE. SOME JURISDICTIONS DO NOT ALLOW CERTAIN WARRANTY EXCLUSIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW: (A) IN NO EVENT WILL MS1 VENTURES LLC OR ITS OFFICERS, MEMBERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, DATA, OR GOODWILL, ARISING FROM OR RELATED TO THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY; AND (B) OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF FIFTY DOLLARS (US $50) OR THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE CLAIM AROSE. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

11. Indemnification

You agree to defend, indemnify, and hold harmless MS1 Ventures LLC and its officers, members, employees, and agents from any claims, damages, and expenses (including reasonable attorneys' fees) arising from your content, your use of the Service, or your violation of these Terms or applicable law.

12. Dispute resolution: arbitration and class action waiver

  • Informal resolution first. Before filing a claim, you agree to email support@askarnie.app a written description of the dispute and give us 60 days to try to resolve it with you informally.
  • Binding arbitration. Any dispute arising out of or relating to the Service or these Terms that is not resolved informally will be resolved by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, rather than in court. The Federal Arbitration Act governs this section.
  • Class action waiver. ALL DISPUTES MUST BE BROUGHT IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING.
  • Exceptions. Either party may bring an individual claim in small claims court, or seek injunctive relief for intellectual property infringement in court.
  • 30-day opt-out. You may opt out of this arbitration agreement by emailing support@askarnie.app with the subject “Arbitration opt-out” within 30 days of first accepting these Terms.

13. Governing law

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules, except that the Federal Arbitration Act governs Section 12. Any claims not subject to arbitration must be brought in the state or federal courts located in Delaware, and you consent to their jurisdiction.

14. Termination

You may stop using the Service at any time. We may suspend or terminate the Service or your access to it at any time, with or without notice, including if we reasonably believe you have violated these Terms. Sections that by their nature should survive termination (including Sections 3, 6, 7, and 9–13) survive.

15. Changes to the Service or these Terms

We may modify or discontinue the Service, and we may update these Terms from time to time. We will post updated Terms here with a new effective date; for material changes we will provide additional notice through the Service. Your continued use after changes take effect constitutes acceptance.

16. General

These Terms and the Privacy Policy are the entire agreement between you and us regarding the Service. If any provision is found unenforceable, the rest remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms; we may assign them in connection with a merger, acquisition, or sale of assets. We are not liable for delays or failures caused by events beyond our reasonable control.
